We assist our clients with the organization and governance of the business entity, buy-sell agreements, shareholder and investor relationships, financing of business operations and asset acquisitions, customer and vendor relationships and contracts, employment matters, deferred compensation arrangements, federal and state taxation of the business entities, stock redemption and sales, purchases, dispositions, and dissolution of businesses and business entities.
Real Estate
Whether buying, selling or leasing the tenant-occupied commercial real estate complex or the family cottage on the lake, we have the expertise to close the transaction. Clarkson Law advises business entities and individuals in the purchasing, selling, leasing and developing of real property, including commercial, industrial and residential properties. We assist our clients in the negotiation and preparation of purchase and sale agreements, leases, easements and declarations, construction contracts, mortgages and other financing documents, and tax deferred and like-kind exchange transactions. We also perform all types of due diligence, including review and coordination of title work, preparation of title objection letters and assisting with clearing encumbrances, reviewing environmental reports and surveys. We prepare and review closing documents and packages and facilitate closings in escrow and/or attend closings with our clients.
Mergers and Aquisitions
Today, businesses in Michigan are growing and evolving, as well as, buying, selling and merging! We represent business entities and individuals in the purchase and sale of businesses, including stock redemptions, stock sales, asset sales, business combinations and joint ventures, leveraged buyouts, transaction financing and related financing matters and matters of business organization. Also, Clarkson Law further provides advice and counsel with relation to employment matters, environmental issues and tax consequences associated with such merger and acquisition transactions.
Employment
Employment and the termination of employment relationships go hand in hand with advising business owners and we assist our business clients with drafting, negotiating and reviewing employment contracts, confidentiality, non-competition and non-solicitation agreements, employee handbooks as well as advising our clients on employee wage garnishments. We also counsel our clients in cases related to the termination of the employment relationship, and prepare and negotiate termination and severance agreements.
